Payment Terms

Payments are due as set in the Payment Schedule. Unless otherwise agreed in writing by the parties, all payments are non-refundable. Accepted payment methods (select applicable):

Late Payment: Payments not received within days after invoice due date shall incur a late fee of % per month (or the maximum legal rate if less). Interest shall accrue from the date due until paid in full.

Taxes & Additional Costs

Client is responsible for all applicable sales, use, value-added, and other taxes arising from this Agreement, except for taxes on Vendor's income. Any additional costs reasonably necessary for project completion (permits, inspections, third-party approvals) shall be billed as pass-through expenses and must be pre-approved in writing by Client when over .

Representations, Warranties & Covenants

Each party represents and warrants that it has full corporate power and authority to enter into this Agreement, that its execution and performance do not violate any law or contractual obligation, and that it will comply with applicable laws in performing duties hereunder. Vendor warrants that services and goods will be provided in a professional manner consistent with industry standards for the scope described.

Default & Remedies

A material default includes failure to pay when due, insolvency, or breach of a material representation. Upon material default and failure to cure within days after written notice, the non-defaulting party may suspend performance, accelerate amounts due, terminate this Agreement, and seek all available legal and equitable remedies, including recovery of costs and reasonable attorneys' fees.

Confidentiality

All non-public information exchanged in connection with the Project shall be maintained in strict confidence and used solely for performance under this Agreement, except as required by law. Confidential information does not include information that is or becomes publicly known through no breach by the receiving party.

Indemnification & Liability

Each party shall indemnify, defend, and hold harmless the other party from third-party claims arising out of its negligence or willful misconduct in performance of this Agreement. Except for willful misconduct or gross negligence, neither party shall be liable for consequential, incidental, or punitive damages.

Notices

All notices must be in writing and delivered to the addresses below by certified mail, courier, or personal delivery. Notice is effective upon receipt.

Miscellaneous

This Agreement constitutes the entire understanding between the parties regarding the subject matter and supersedes prior negotiations. Any amendment must be in writing and signed by authorized representatives. This Agreement is governed by the laws of the jurisdiction specified in the governing_law field.
