1. Acceptance: This Purchase Order constitutes an offer by Buyer to purchase the goods and services described herein. Vendor's acceptance is expressly limited to the terms of this Purchase Order. Any acceptance in writing, shipment of any goods, or commencement of performance shall be deemed acceptance of these terms without modification.

2. Price and Payment: Prices are firm and include all charges unless otherwise stated. Payment will be made in accordance with the Payment Terms specified on this Purchase Order. Buyer may set off any amounts Vendor owes Buyer against amounts payable under this Purchase Order.

3. Delivery and Title: Time is of the essence. Deliveries must conform to the delivery schedule. Title and risk of loss pass to Buyer upon delivery in accordance with the FOB terms specified in this Purchase Order.

4. Inspection & Rejection: Buyer reserves the right to inspect and reject nonconforming goods. Vendor shall, at Buyer’s direction and risk, promptly repair or replace nonconforming goods at Vendor's expense.

5. Warranties: Vendor warrants that all goods and services supplied shall conform to specifications, be free from defects in material and workmanship, and be fit for their intended purpose. Warranties are in addition to any statutory remedies.

6. Changes and Cancellation: Buyer may, at any time, make reasonable changes to this Purchase Order. If changes cause cost or schedule adjustments, the parties shall negotiate in good faith. Buyer may cancel all or part of this Purchase Order for convenience upon written notice, subject to Vendor’s reasonable termination costs approved by Buyer.

7. Indemnity and Insurance: Vendor shall indemnify and hold Buyer harmless from claims arising from Vendor’s performance, and shall maintain insurance as required by Buyer. Vendor shall provide certificates of insurance upon request.

8. Taxes and Compliance: Unless Buyer is designated as tax-exempt on this Purchase Order, Vendor is responsible for applicable taxes. Vendor shall comply with all applicable laws, regulations, and Buyer policies relating to the goods and services supplied.

9. Remedies and Governing Law: Buyer’s remedies are cumulative and in addition to any other rights provided by law. This Purchase Order shall be governed by the laws of the state specified by Buyer in writing; disputes shall be resolved in accordance with applicable law.
