1. Formation of Contract: This quotation constitutes an offer by the Provider. A binding contract will be formed only upon the Client's written acceptance or the Provider's countersignature on this Quotation Contract. Acceptance by email or electronic signature is permitted where expressly agreed.

2. Price, Taxes and Adjustments: Prices stated are exclusive of taxes unless expressly stated. The Provider reserves the right to adjust prices for changes in scope, costs, or rates prior to an executed contract; any adjustments will be documented in writing and signed by both parties.

3. Delivery and Performance: Delivery dates are estimates and the Provider will use commercially reasonable efforts to meet them. The Provider is not liable for delays caused by Client-supplied materials, force majeure, or third-party acts.

4. Late Payment: Overdue payments shall bear interest at the lesser of 1.5% per month or the maximum permitted by law, and the Provider may suspend performance until payment is received. Client is liable for collection and legal costs incurred in enforcing payment.

5. Confidentiality: Each party shall keep confidential all non-public information received from the other party in connection with this quote and shall not disclose such information except as required by law or with prior written consent.

6. Warranties and Limitation of Liability: The Provider warrants that services will be performed with reasonable skill and care. EXCEPT FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, THE PROVIDER'S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS QUOTATION SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY THE CLIENT UNDER THE CONTRACT.

7. Termination: Either party may terminate for material breach if the breach remains uncured for thirty (30) days following written notice. Termination does not relieve the Client of payment obligations for services performed or committed expenses incurred prior to termination.

8. Governing Law: This Quotation Contract shall be governed by and construed in accordance with the laws specified by the parties below. Any dispute arising under or in connection with this quotation shall be subject to the exclusive jurisdiction of the courts agreed by the parties.
