Scope of Supply: Vendor shall provide the goods and services described in the Itemized Quote. Any additional work or materials requested by Client that are not specified in the Itemized Quote will be treated as a change order and may be subject to additional charges and time for completion.

Price, Taxes and Duties: Quoted amounts exclude taxes, duties, and assessments unless expressly stated. Client is responsible for all applicable sales, use, value-added, or other taxes, except taxes based on Vendor's net income. If Vendor is required to collect or remit taxes, such taxes will be invoiced in addition to the Total.

Warranty and Remedies: Vendor warrants that goods shall materially conform to the specifications set forth in the Quote for a period specified in writing by Vendor at time of sale. Vendor's sole liability for breach of warranty shall be, at Vendor's option, repair or replacement of nonconforming goods or refund of the purchase price for such goods. This warranty does not cover misuse, abuse, or third-party modifications.

Limitation of Liability: Except for liability for bodily injury or death caused by Vendor's gross negligence, Vendor's aggregate liability arising out of or related to this Quote shall not exceed the Total paid by Client for the goods or services giving rise to the claim. In no event shall Vendor be liable for incidental, consequential, or special damages.

Indemnification: Each party shall indemnify and hold harmless the other from third-party claims arising from its negligent acts or willful misconduct in performance of this Agreement, subject to the limitations set forth herein.

Force Majeure: Neither party shall be liable for delays or failures caused by events beyond that party's reasonable control, provided that the affected party promptly notifies the other and takes commercially reasonable steps to mitigate the effects.

Termination: Either party may terminate this acceptance for material breach if the breach is not cured within thirty (30) days after written notice. Termination does not relieve Client of obligation to pay for goods and services performed and delivered prior to termination.

Confidentiality: Each party shall maintain in confidence all non-public information disclosed by the other and shall not disclose such information except as required by law.

Governing Law and Dispute Resolution: This Quote Acceptance shall be governed by the laws of the state of , without regard to conflict of laws principles. The parties agree to attempt to resolve disputes by good faith negotiations, then mediation, and if unresolved, by the courts located in the governing jurisdiction.

Acceptance Condition: Client's signing below constitutes an unqualified acceptance of the Quote and these Terms & Conditions. Acceptance is effective upon signature by Client and Vendor, or upon Vendor's written acknowledgment of Client's signed acceptance. This acceptance is void if returned after the Quote Expiry Date.
