1. Quote Validity: This quotation is valid only if accepted in writing by the Customer and received by the Vendor prior to the expiration date above. Acceptance constitutes a binding purchase order subject to these Terms & Conditions.

2. Pricing and Taxes: All prices are exclusive of applicable taxes and duties unless otherwise stated. Customer is responsible for all sales, use, VAT, or similar taxes arising from the transaction, unless a valid exemption certificate is provided in advance.

3. Payment: Unless otherwise agreed in writing, Vendor may require deposit. Outstanding balances not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law and may result in suspension of delivery.

4. Delivery and Risk of Loss: Delivery dates are estimates only. Risk of loss transfers to Customer upon delivery to carrier unless otherwise agreed in writing. Vendor shall not be liable for delays caused by events beyond its reasonable control.

5. Warranties and Remedies: Vendor warrants that goods supplied shall materially conform to the agreed specification for a period specified in the Manufacturer's warranty. Vendor's sole liability and Customer's exclusive remedy for breach of warranty shall be repair or replacement at Vendor's option.

6. Limitation of Liability: Except for liability arising from gross negligence or willful misconduct, neither party shall be liable for incidental, consequential, special, or punitive damages. Aggregate liability shall not exceed the total amounts paid under the accepted portion of this order.

7. Cancellation: Orders may be cancelled only with Vendor's prior written consent and may be subject to restocking, cancellation fees, and reimbursement for work already performed.

8. Governing Law: This Agreement shall be governed by the laws agreed by the parties below. All disputes shall be resolved in the courts identified in a separate written agreement or, absent such agreement, in the Vendor's principal place of business.
