FINANCE REBATE AGREEMENT

Recitals and Purpose

This Finance Rebate Agreement (Agreement) sets forth the terms under which Rebate Provider will pay rebates to Recipient for Eligible Transactions as defined below. Provider and Recipient agree as follows.

Definitions

"Eligible Transaction" means a sale or financing transaction qualifying under the rebate schedule in Section A for which Recipient submits complete claim documentation within the Claim Period. "Claim Period" means the time window specified in the rebate schedule and below. "Rebate" means the monetary credit or payment described in the Rebate Schedule.

B. Claim Procedure and Documentation

To obtain a Rebate, Recipient must submit a completed rebate claim with all required supporting documents within the Claim Period. Required documentation includes, at minimum: (i) legible copies of Recipient's invoice or contract evidencing the Eligible Transaction; (ii) proof of payment; and (iii) the invoice numbers or sales contract references listed below.

C. Payment Terms

Provider will pay approved Rebate claims within the payment period set forth below following Provider's receipt of complete documentation and verification. Provider's obligation is limited to the amounts set forth in the Rebate Schedule and subject to Verification and Audit (Section D).

D. Verification and Audit Rights

Provider reserves the right to verify the accuracy of any claim and to audit Recipient's books and records related to Eligible Transactions upon reasonable prior written notice. Recipient shall retain relevant records for a period of at least three (3) years following the date of the applicable transaction.

E. Taxes and Withholding

Recipient is responsible for any taxes, reporting obligations, or withholdings arising from receipt of Rebates, including without limitation income, sales, or use taxes. Provider will issue applicable tax documentation as required by law; Recipient shall provide completed tax documentation or certifications upon Provider's reasonable request.

Acknowledgment: Recipient acknowledges responsibility for tax and reporting obligations related to Rebates.

F. Representations; Indemnity; Limitation of Liability

Each party represents that it has authority to enter into this Agreement. Recipient shall indemnify and hold harmless Provider from any claims arising from Recipient's failure to comply with the terms of this Agreement, including improper claims and tax liabilities. Provider's aggregate liability for any claim relating to Rebates shall be limited to the total Rebates actually paid or payable under this Agreement; neither party shall be liable for special, incidental, or consequential damages.

G. Confidentiality

Unless otherwise required by law, parties shall keep the terms of this Agreement and any non-public business information obtained under this Agreement confidential for the term of the Agreement and for two (2) years following its termination.

H. Term; Termination

This Agreement commences on the Effective Date and continues until the expiration date specified below, unless earlier terminated in accordance with this Section. Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days after written notice.

I. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by hand, certified mail, or overnight courier, and shall be effective upon receipt.

J. Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes prior agreements. Any amendment must be in writing signed by both parties. This Agreement shall be governed by the laws of the jurisdiction specified below.
