Recitals

WHEREAS, Issuer administered a rebate program identified as: ; and

WHEREAS, Recipient asserts entitlement to certain rebate payments arising from transactions described in Exhibit A (Transaction References); and

WHEREAS, the parties desire to fully and finally settle all claims, disputes, adjustments, and payment obligations regarding such rebates on the terms set forth below.

Payment Terms

Payment Due Date:

Late Payment Fee: If payment is not made within five (5) business days after the Payment Due Date, Issuer will incur a late fee equal to per month on the unpaid balance, calculated daily and compounded monthly.

Release and Mutual Covenant

Upon receipt of the Net Settlement Amount in cleared funds, Recipient hereby irrevocably and unconditionally releases and forever discharges Issuer, its affiliates, and their respective officers, directors, employees and agents from any and all claims, demands, actions, causes of action, liabilities, and obligations arising out of or relating to the rebate program and the transactions listed in Exhibit A through the Effective Date.

Issuer covenants that payment of the Net Settlement Amount as provided herein shall be in full satisfaction of any rebate-related obligations and that Issuer will not pursue further adjustments or recoupments with respect to the transactions settled herein, except in the case of fraud or material misrepresentation by Recipient.

Representations, Warranties & Indemnity

Each party represents and warrants that it has full corporate power and authority to enter into this Settlement and to perform its obligations hereunder; that the person signing on its behalf is duly authorized; and that the execution and performance of this Settlement do not violate any other agreement to which it is a party.

Recipient shall indemnify, defend and hold harmless Issuer from and against any taxes, penalties, claims, or liabilities arising from Recipient's breach of its representations or from Recipient's failure to comply with applicable tax or withholding obligations in connection with amounts paid under this Settlement.

Taxes; Withholding

Except as expressly provided herein, each party is solely responsible for its own tax liabilities. Issuer may withhold taxes or make deductions as required by law. If Issuer withholds any amounts, Issuer will provide documentation of such withholding upon request.

Confidentiality

The parties agree that the terms and existence of this Settlement constitute Confidential Information. Neither party will disclose the terms of this Settlement to any third party except to their legal counsel, accountants, or as required by law, provided that the receiving party uses commercially reasonable efforts to maintain confidentiality.

Default and Remedies

If Issuer fails to make payment in accordance with the Payment Terms, Recipient may pursue any rights and remedies available at law or equity, including seeking specific performance or damages. Remedies are cumulative and not exclusive.

Notices

All notices under this Settlement shall be in writing and delivered to the addresses below (or to such other address as a party may designate in writing).

Miscellaneous

This Settlement contains the entire agreement between the parties regarding the subject matter hereof and supersedes all prior negotiations and agreements. No amendment will be effective unless in writing and signed by both parties. If any provision is held invalid, the remainder will remain in effect.
