Insurance, Taxes, and Title

Lessee shall, at Lessee's sole cost and expense, maintain insurance covering the Property against all risks of loss or damage in amounts and with coverages acceptable to Lessor. Lessee shall name Lessor as loss payee and provide certificates of insurance upon request.

Lessee is responsible for any sales, use, property, or other taxes, assessments, registration fees, or levies applicable to the possession, use, or rental of the Property during the Term.

Title to the Property remains with Lessor. This Agreement creates a rental with finance terms but does not convey ownership to Lessee except by written, signed assignment or separate purchase agreement.

Maintenance, Use, and Repairs

Lessee shall, at Lessee's cost, keep the Property in good repair, ordinary wear and tear excepted. Lessee shall not make alterations to the Property without Lessor's prior written consent. Lessee shall promptly notify Lessor of any loss, damage, or malfunction.

Default, Remedies, and Acceleration

Events of Default include failure to pay rent or other amounts when due, abandonment of the Property, insolvency of Lessee, breach of any material term, or failure to maintain required insurance. Upon default, Lessor may exercise any remedy available at law or in equity, including immediate repossession, termination of this Agreement, acceleration of all unpaid amounts, and recovery of damages and collection costs, including attorneys' fees.

Indemnification

Lessee shall indemnify, defend, and hold harmless Lessor and its officers, agents, and employees from and against all liabilities, claims, losses, damages, penalties, fines, and expenses (including reasonable attorneys' fees) arising out of Lessee's use, possession, maintenance, or operation of the Property, except to the extent resulting from Lessor's gross negligence or willful misconduct.

Return, Inspection, and Condition

Upon expiration or earlier termination, Lessee shall return the Property to Lessor in substantially the same condition as received, ordinary wear and tear excepted. Lessor may inspect the Property during normal business hours upon reasonable notice.

All notices, demands, or communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other addresses as the parties may designate in writing.
