FINANCE RESELLER AGREEMENT

This Finance Reseller Agreement (the Agreement) is made and entered into as of between:

Supplier (Provider)

Reseller

Recitals and Definitions

WHEREAS Supplier develops, licenses and supplies financial products, services and technology described in the Pricing Schedule (the Products); and WHEREAS Reseller desires to market, resell and support such Products to end customers in accordance with the terms set forth below.

Appointment; Territory; Exclusivity

Supplier hereby appoints Reseller as a Non-Exclusive Reseller    Exclusive Reseller for the Territory specified below, subject to the terms and conditions of this Agreement.

Term; Renewal; Termination

The initial term of this Agreement shall commence on the Effective Date and shall continue for years, unless earlier terminated in accordance with this Agreement. Thereafter this Agreement will automatically renew    not renew without mutual written agreement.

Reseller Obligations

Reseller shall (i) market the Products commercially and in good faith; (ii) comply with Supplier policies and pricing guidelines; (iii) maintain accurate customer records and permit Supplier audits as set forth below; and (iv) provide first-line support as defined in the Support Schedule.

Pricing; Commissions; Payment Terms

Commission payable to Reseller on Net Revenue shall be calculated in accordance with the Pricing Schedule. "Net Revenue" means gross invoiced amounts less taxes, chargebacks, refunds and third-party processing fees.

Reporting; Audit Rights

Reseller shall deliver to Supplier a written sales report for the preceding period by the day of each calendar month showing units sold, customer identity, pricing, discounts and Net Revenue.

Supplier may audit Reseller's relevant books and records upon days' prior written notice, during normal business hours, no more than once per twelve-month period, to verify payment and compliance. Any underpayment discovered shall be paid within days plus interest at the rate specified above.

Taxes; Duties

All amounts payable under this Agreement are exclusive of taxes. Reseller shall be responsible for sales, use, VAT or other taxes imposed on the resale of the Products unless Supplier is required by law to collect such taxes.

Warranties; Disclaimers

Supplier warrants that it has the right to grant rights under this Agreement and that Products will materially conform to the applicable documentation for a period specified in the Support Schedule. EXCEPT FOR THE EXPRESS WRITTEN WARRANTIES SET FORTH IN THIS AGREEMENT, SUPPLIER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Indemnification; Limitation of Liability

Except for liability arising from willful misconduct or a party's indemnification obligations, neither party will be liable to the other for special, incidental, or consequential damages. Aggregate liability shall not exceed the total amounts paid or payable by Reseller to Supplier under this Agreement in the preceding twelve (12) months.

Compliance; Data Protection

Force Majeure; Assignment

Neither party shall be liable for failure or delay in performance due to causes beyond its reasonable control, provided the affected party promptly notifies the other and uses commercially reasonable efforts to resume performance. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a merger or sale of substantially all assets.

Governing Law; Dispute Resolution; Notices

This Agreement shall be governed by the laws of the state of without regard to conflict of laws principles. Parties shall attempt good faith negotiation prior to initiating litigation or arbitration.

Miscellaneous

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings relating to the subject matter hereof. Amendments must be in writing and signed by authorized representatives of both parties. If any provision is held unenforceable, the remainder will remain in effect.
