Client authorizes the transferring custodian to liquidate and/or transfer assets as necessary to effect this instruction and authorizes the receiving custodian to accept such assets.

Client acknowledges and agrees that: (1) the processing of this instruction may be subject to custodian fees, transfer fees or market adjustments; (2) any tax withholding required by law for an indirect rollover will be applied unless Client has affirmed a contrary election above; (3) neither the receiving custodian nor the transferring custodian shall be liable for tax consequences that arise from Client's election; and (4) Client will indemnify and hold harmless the receiving and transferring custodians and their agents from any claim, liability or loss arising from reliance on these instructions, except to the extent caused by gross negligence or willful misconduct of the custodian.
