Definitions

"Bonus Target" means the target incentive for the Performance Period as specified in the Bonus Schedule. Target amounts are subject to proration for partial-period participation and hire or termination mid-period.

"Eligible Revenue" means revenue recognized by the Company in accordance with its standard revenue recognition policies and attributable to sales or renewals assigned to the Participant, less returns, credits, and disputed amounts ultimately refunded or credited.

All bonus payments are subject to required tax withholding and deductions. The Company reserves the right to withhold amounts for payroll taxes, benefit deductions, or other legally required deductions prior to disbursement.

If termination is without Cause or due to death or disability, payout shall be prorated in the sole discretion of the Company consistent with plan rules.

Administration; Amendment; Governing Law

The Company retains sole discretion to interpret and administer this Plan. The Company may amend, modify, suspend, or terminate this Plan at any time, provided that no amendment that reduces accrued bonus rights shall be applied retroactively except where required by law.

Governing Law: This Plan shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles.
