This Security Deposit (the "Deposit") is delivered by the Depositor to the Holder as security for the faithful performance of the Depositor's obligations described below and in any related agreement between the parties. The Deposit may be applied by the Holder, in whole or in part, to satisfy any unpaid amounts, repairs, cleaning, late fees, or other charges for which the Depositor is responsible under the underlying agreement.

Permitted Uses of Deposit

Release, Forfeiture and Return

Upon termination or expiration of the underlying agreement, and after accounting for permitted deductions, the Holder shall return any remaining portion of the Deposit to the Depositor within the time period required by the underlying agreement or by applicable law.

Default, Remedies and Mitigation

If the Depositor is in default under the underlying agreement, the Holder may apply the Deposit to cure the default or as partial compensation for damages. Application of the Deposit will not preclude the Holder from pursuing any additional remedies available at law or equity. The Holder shall use reasonable efforts to mitigate damages prior to applying the Deposit.

Notices

Any notices required or permitted under this Agreement shall be in writing and delivered to the addresses provided below (or to such other address as a party may designate in writing).

Representations, Warranties and Certifications

Each party represents and warrants that it has full authority to enter into this Agreement, that the information provided herein is true and accurate, and that execution and performance of this Agreement will not violate any other agreement or legal obligation.
