2. Changes and Additional Work: Any changes to scope will be managed by written change order. Additional services will be billed at agreed rates or, absent agreement, at the Service Provider's standard rates.

3. Confidentiality: Each party shall treat as confidential all non-public information received from the other party in connection with this engagement and shall not disclose such information except as required by law.

4. Limitation of Liability: Except for liability arising from willful misconduct or gross negligence, neither party shall be liable for incidental, consequential, special, or punitive damages. The total aggregate liability of the Service Provider for any claim relating to this Quote shall not exceed the amounts actually paid to the Service Provider under this Quote.

5. Termination: Either party may terminate for material breach if the breach remains uncured for thirty (30) days after written notice. Obligations to pay for services performed and reimbursable expenses up to the termination date survive termination.

6. Governing Law; Dispute Resolution: This agreement shall be governed by applicable law. Disputes shall be resolved by negotiation in good faith; if unresolved, parties may pursue available legal remedies.
