Proposal and Acceptance: This document is an offer to provide services on the terms set forth herein. Acceptance occurs upon Client signing this quote and returning it to Servicer, or upon Client's written or electronic authorization to proceed. Upon acceptance, the parties shall execute a servicing agreement incorporating the terms of this quote.

Limitation of Liability: Except for willful misconduct or gross negligence, Servicer's aggregate liability arising from or related to the services shall not exceed the fees paid by Client to Servicer under this quote for the three (3) month period preceding the event giving rise to the claim. In no event shall Servicer be liable for consequential, incidental, punitive, or special damages.

Indemnification: Client shall indemnify, defend and hold Servicer harmless from any third-party claims, losses or liabilities resulting from Client data inaccuracies, failure to comply with applicable law, or Client's breach of representations contained herein, except to the extent caused by Servicer's gross negligence or willful misconduct.

Confidentiality and Data Security: Each party shall maintain in confidence non-public information received from the other and shall implement reasonable administrative, technical and physical safeguards to protect such information. Notwithstanding the foregoing, Servicer may disclose information to comply with legal process or regulatory requests, provided Servicer uses commercially reasonable efforts to notify Client when permitted by law.

Taxes and Compliance: Client is responsible for all taxes, duties, and governmental charges imposed on payments under this quote, excluding Servicer's income taxes. Client represents that it will provide accurate tax and compliance information necessary for Servicer to perform the services.

Termination: Either party may terminate a resulting services agreement for material breach following written notice and a thirty (30) day cure period. Fees for services performed through the effective date of termination shall be payable in full.

Governing Law and Dispute Resolution: Any dispute arising under this quote shall be governed by the substantive law of the state specified in the executed servicing agreement and resolved by arbitration or court as provided in the servicing agreement.

Validity: Prices and terms in this quote are valid only through the Valid Until date stated above. Servicer reserves the right to withdraw or modify this quote prior to Client acceptance.
