What a Finance Side Fee Letter Is and when it’s used

A Finance Side Fee Letter is a written disclosure that itemizes fees charged by a financing provider, lender, or broker that are attributable to the financing side of a transaction. It clarifies fee amounts, who pays each fee, the fee basis (flat, percentage, or hourly), and any allocations between parties. The letter is commonly attached to closing packages, invoicing records, or underwriting files and serves as an auditable record for accounting, tax reporting, and regulatory compliance.

Why a clear Finance Side Fee Letter matters

A clear, accurate Finance Side Fee Letter reduces disputes, supports accounting and tax reporting, and documents consent to charges. Proper disclosure helps meet regulatory expectations and reduces the risk of late fees or withholding penalties.

Which people and teams commonly prepare or receive this letter

Typical preparers and recipients vary by transaction type and industry; below are common profiles.

  • Corporate finance teams reconciling loan or facility charges for bookkeeping and audit trails.
  • Loan officers or brokers disclosing commission, origination, or processing fees to borrowers or sellers.
  • Accounts payable/receivable teams recording fee allocation for vendor billing and tax reporting.
