FINANCE SIGN-ON BONUS AGREEMENT

This Sign-On Bonus Agreement ("Agreement") is entered into by and between Employer Name: with principal place of business at , and Employee Name: . Effective Date: .

RECITALS

WHEREAS, Employer desires to provide Employee with a sign-on bonus as an inducement to commence employment under the terms set forth below; and WHEREAS, Employee desires to accept the sign-on bonus subject to the terms and conditions of this Agreement.

1. GRANT OF SIGN-ON BONUS

Employer agrees to pay Employee a sign-on bonus in the gross amount of (the "Bonus"), subject to applicable withholding and the terms of this Agreement.

2. CONDITIONS OF PAYMENT

Payment of the Bonus is conditioned upon Employee's commencement of employment on or before and continuous employment through the Service Period described below. Employer reserves the right to delay payment if Employee has not completed pre-employment requirements.

Employee must remain continuously employed for a period of months from the commencement date (the "Service Period"). Partial months shall be counted as full months for purposes of this Agreement.

3. REPAYMENT / CLAWBACK

If Employee's employment terminates for any reason prior to the expiration of the Service Period, Employee shall repay to Employer the Bonus in accordance with the terms below.

Repayment shall be due within days of termination. Employer may recover any unpaid amounts by deduction from final wages to the extent permitted by law, by invoice, or by offset against any amounts owed to Employee.

4. TAX WITHHOLDING

The Bonus is subject to all required tax withholdings and deductions. Employee acknowledges that Employer may withhold federal, state, and local taxes and any other amounts required by law. Employee is responsible for any tax liability not satisfied by such withholdings.

Employee acknowledges the Bonus will be reported as income and subject to withholding.

5. TERMINATION FOR CAUSE; EMPLOYEE RESIGNATION

If Employee is terminated for Cause (as defined by Employer policy) prior to payment or prior to expiration of the Service Period, Employee shall immediately repay the Bonus in full. If Employee resigns voluntarily prior to the expiration of the Service Period, repayment shall be prorated in accordance with the Repayment Terms above.

6. NO GUARANTEE OF EMPLOYMENT

Nothing in this Agreement guarantees continued employment for any period. Employment with Employer is at-will and may be terminated by either party at any time unless a separate written agreement provides otherwise.

7. GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved in the state or federal courts located in the foregoing state.

8. MISCELLANEOUS

Amendment: This Agreement may be amended only by a written instrument signed by both parties. Severability: If any provision is held invalid, the remaining provisions shall remain in full force. Entire Agreement: This Agreement constitutes the entire understanding between the parties regarding the Bonus and supersedes prior oral or written agreements relating to the subject matter hereof.
