This Finance Tariff Clause (the "Clause") is entered into by Party A and Party B effective as of , and is incorporated into and forms part of the underlying agreement between the parties identified above.

Definitions

"Tariff" means any newly enacted or materially revised duty, import fee, export charge, or other government-imposed tariff, surcharge or fee identified by the parties as .

"Tariff Event" means the publication, imposition, or material increase of a Tariff after the effective date that materially increases Party A's cost of performance.

"Base Amount" means the contract price, unit rate, or other pricing component to which a tariff adjustment is applied as specified in the invoice or contract line item. Enter an optional illustrative Base Amount:

"Tariff Rate" means the percentage or fixed charge imposed by the Tariff. If the Tariff is percentage-based, enter the agreed tariff_rate: %

Tariff Adjustment

1. Scope. If a Tariff Event occurs, Party A may seek an adjustment to pricing to recover increased costs that are the direct result of the Tariff Event. Adjustments under this Clause apply only to goods or services directly impacted by the Tariff Event and identified by the tariff_identifier above.

2. Trigger; Notice. Party A shall provide Party B written notice of the Tariff Event, including reasonable documentation of the Tariff and an explanation of its impact, within days of becoming aware of the Tariff Event. Failure to provide timely notice does not waive Party A's right to an adjustment but may delay the effective date of such adjustment.

3. Calculation. Unless the parties expressly agree otherwise in writing, the Tariff Adjustment shall be calculated as follows:

Adjustment Amount = (Base Amount × Tariff Rate) + documented incremental charges directly attributable to the Tariff Event. Enter an illustrative calculated_adjustment:

4. Effective Date of Adjustment. The adjustment shall be effective for goods shipped or services performed on or after , unless otherwise agreed in writing.

5. Invoicing and Payment. Tariff Adjustments shall be invoiced as a separate line item on Party A's invoice. Party B shall pay the Tariff Adjustment in accordance with the underlying payment terms. Overdue Tariff Adjustment payments shall accrue interest at the lesser of (a) the rate specified in the underlying agreement or (b) the statutory post-judgment interest rate.

6. Documentation and Audit. Upon request, Party A will provide reasonable supporting documentation of the Tariff Event and the calculation of the adjustment. Party B may, at its expense, audit such documentation within ninety (90) days of receipt. Any disputed amount shall be resolved in accordance with the Dispute Resolution provision below.

Allocation and Mitigation

7. Allocation of Taxes, Duties and Fees. The Tariff Adjustment expressly excludes taxes for which Party B is separately liable; parties shall identify such taxes at the time of invoicing. Where applicable law requires Party A to collect taxes on the Tariff Adjustment, such taxes will be added to the invoice and paid by Party B.

8. Mitigation. Party A shall use reasonable efforts to mitigate the effects of a Tariff Event, including seeking alternative sources, reclassification where lawful, or restructuring shipments. Mitigation efforts and recovered savings shall be reasonably credited to Party B.

Dispute Resolution

9. Disputes. Parties will attempt in good faith to resolve disputes arising under this Clause within thirty (30) days of written notice. If the parties cannot resolve a dispute, the dispute shall be escalated pursuant to the dispute resolution procedure in the underlying agreement. Pending resolution, undisputed portions shall be paid when due.

Representations, Indemnity & Liability

10. Representations. Each party represents that it has the authority to enter into this Clause and that the execution and performance will not violate other material obligations.

11. Indemnity. Party A shall indemnify and hold Party B harmless from third-party claims to the extent arising from Party A's negligent misrepresentation of facts material to the Tariff Event. Party B shall indemnify Party A for claims arising from Party B's misuse of Tariff Adjustment recoveries.

12. Limitation of Liability. Except for liability arising from wilful misconduct or gross negligence, neither party shall be liable for special, incidental or consequential damages arising solely from the application of a Tariff Adjustment.

Notices

All notices required or permitted under this Clause shall be in writing and delivered to the contact information provided above or to the specific notice address below.

Additional Terms

Tariff passed through in full to Party B as a separate invoice line item

Shared allocation: Parties will negotiate cost-sharing upon notice of Tariff Event

Governing Law & Severability

What the Finance Tariff Clause Is and Where It Belongs

A Finance Tariff Clause is contract language that defines fees, interest rates, payment terms, and chargeable services tied to a financing arrangement or ongoing account. It appears in loan agreements, vendor contracts, service agreements, and utility or subscription terms to set how tariffs are calculated, billed, and adjusted. The clause typically covers bases such as base rate, late fees, adjustment triggers, notice requirements, and dispute resolution. Clear, consistent Finance Tariff Clause drafting reduces billing disputes and supports enforceability under governing law.

Why a Clear Finance Tariff Clause Matters

A well-drafted clause clarifies payment obligations, limits disputes, and documents pricing mechanics that determine revenues and customer responsibilities while supporting audit and regulatory reviews.

Why a Clear Finance Tariff Clause Matters

Who Typically Prepares and Signs a Finance Tariff Clause

Typical users span corporate, legal, and operational roles who manage contracts, billing, or compliance.

  • Corporate counsel and contract teams drafting enforceable pricing provisions and ensuring compliance with state law and regulatory rules.
  • Accounts receivable and billing managers implementing tariff calculations and matching clause terms to invoicing systems.
  • Sales and procurement teams negotiating customer-facing pricing language and documenting triggers for rate changes.

Different organizations assign responsibility differently; coordination among legal, finance, and operations ensures consistent application and system configuration.

Common Errors to Avoid When Preparing the Clause

  • Vague formulas that reference undefined indices or rounding rules, creating discrepancies in billed amounts.
  • Failing to specify notice periods for rate changes, which can violate consumer protection laws in some states.
  • Not aligning billing system logic with clause language, producing incorrect invoices and reconciliation issues.
  • Omitting cap or evergreen language, exposing the organization to unlimited fee escalation and disputes.
