"Minimum Charge" means the lowest charge that may be applied for a discrete service. "Billing Cycle" means the periodic interval for invoice issuance as specified in Billing and Payment Terms.

The schedule below lists service codes, a concise description, billing unit, unit rate, minimum charge where applicable, and the date on which the listed rate becomes effective. Rates shown are exclusive of applicable taxes, surcharges, and fees unless explicitly indicated as tax inclusive.

Calculation, Taxes, and Surcharges

Unit charges are calculated by multiplying the applicable Unit count by the published Rate. All monetary computations shall be rounded to two decimal places. Unless explicitly stated as inclusive, all rates are exclusive of taxes, levies, duties, and regulatory charges which will be added to invoices as separate line items. The Issuer may apply a non-refundable administrative surcharge or fuel/market surcharge where identified in the schedule or separately notified in writing.

Billing and Payment Terms

Invoices will be rendered in accordance with the Issuer's standard billing cycle unless otherwise agreed in writing. Payment is due within the stated payment period on the invoice. Late payments are subject to a late fee of the lesser of 1.5% per month or the maximum permitted by law, plus recovery of collection costs, including reasonable attorneys' fees. Payment methods accepted: check, ACH, wire transfer, or other methods as specified on the invoice. Specific payment instructions shall be provided on the invoice.

Adjustment, Amendments and Notices

The Issuer reserves the right to amend rates and terms in this Tariff Grid upon written notice to affected customers. Except in cases where immediate change is required by law or regulatory action, amendments shall become effective no fewer than thirty (30) days after notice. Notices shall be given to the contact information provided by the customer and are effective upon mailing or electronic transmission with confirmed receipt.

Dispute Resolution and Governing Law

Any dispute arising from the application or interpretation of this Tariff Grid shall first be submitted to good-faith negotiation between the parties. Failing resolution within sixty (60) days, disputes shall be resolved by arbitration conducted in the county of the Issuer's principal place of business under commercially reasonable arbitration rules. This Tariff Grid is governed by the laws of the state in which the Issuer is incorporated, without regard to conflict of law principles.
