Acceptance Certification and Legal Terms

By completing and signing this Finance User Acceptance Testing form, Client certifies that the tested finance modules delivered by Vendor meet the Acceptance Criteria marked as Pass, except for defects expressly listed in the Issue Log. Acceptance shall be deemed final for the purposes of completion of services, release of deliverables, and invoicing, subject to the remediation obligations below.

Vendor shall correct defects classified as High or Critical within timelines agreed in the remediation plan. For defects classified as Medium or Low, Vendor shall provide a documented schedule for fixes. Client's acceptance does not waive the Vendor's warranty obligations under the Master Agreement; however, Client acknowledges that payment obligations tied to acceptance may proceed in accordance with contractual payment terms.

Limitation of liability, indemnity, confidentiality, and data protection obligations remain as set forth in the Parties' underlying agreement and are incorporated by reference into this acceptance. This acceptance statement is not a waiver of rights for defects that materially impair financial control functions and which are not remediated in accordance with the remediation plan.
