Vendor further certifies that Vendor is authorized to provide banking information and accept electronic payments to the account named herein. Vendor accepts responsibility for notifying the Payor in writing of any change to the banking or payee information prior to the effective date of such change.

Vendor acknowledges that payments may be withheld, offset, or suspended for invoicing disputes, failure to provide required documentation, or for claims of breach. Late payment is subject to the payor's stated payment terms; unless otherwise agreed in writing, Vendor waives interest claims beyond the stated terms. Vendor agrees to indemnify and hold harmless the payor for errors resulting from inaccurate information supplied by Vendor.

Vendor hereby authorizes the Payor to initiate payment by the selected payment method and to debit accounts as necessary to correct erroneous payments. This authorization remains in effect until revoked in writing with a minimum of fifteen (15) business days' notice to the Payor.
