By signing below, Client authorizes Provider to charge the Total Due for the services ordered and any recurring charges set forth by the term and auto-renewal provisions herein. Client affirms that the billing information provided is accurate and that the person signing is authorized to bind the Client.

  

Terms & Conditions

Services: Provider will host Client's website and provide associated services described in the Itemized Services section. Services include hosting infrastructure, routine platform updates, and monitoring as specified by the selected plan. Any additional work not expressly described will be treated as a change order and billed separately.

Fees and Billing: Client agrees to pay all fees set forth in this Order Form. Fees are non-refundable except as specifically provided herein. Provider reserves the right to suspend services for delinquent accounts in accordance with the Payment Terms and Late Fee Policy.

Taxes: Client is responsible for any sales, value-added, or other taxes, fees, or charges imposed by governmental authorities arising from this Order. Provider will invoice applicable taxes unless Client provides a valid tax exemption certificate prior to invoicing.

Term and Termination: This Order commences on the Service Start Date and continues for the Initial Term. Either party may terminate for material breach if the breach remains uncured thirty (30) days after written notice. Termination does not relieve Client of obligation to pay for accrued charges or for any minimum term commitments.

Service Level and Remedies: Provider will use commercially reasonable efforts to maintain availability of hosting services. Provider's sole liability for failure to meet uptime commitments will be service credits limited to a proportionate refund of the monthly fee for the affected period. Service credits are Client's exclusive remedy for service interruptions.

Data Backup and Retention: Provider will perform backups as specified by the chosen plan. Client is responsible for maintaining independent copies of its content. Provider is not liable for loss of Client data beyond the scope of documented backups.

Security: Provider will implement reasonable technical and organizational measures to protect hosted data. Client is responsible for maintaining secure credentials and for promptly notifying Provider of any unauthorized access.

Limitation of Liability: To the maximum extent permitted by law, Provider's aggregate liability arising out of or related to this Order will not exceed amounts paid by Client to Provider under this Order in the twelve (12) months preceding the claim. Neither party will be liable for consequential, incidental, or punitive damages.

Indemnification: Client will defend, indemnify and hold Provider harmless from any third-party claims arising from Client content, use of the services in violation of law, or Client's breach of this Order. Provider will defend and indemnify Client for third-party claims arising solely from Provider's gross negligence in performing hosting infrastructure services.

Governing Law and Dispute Resolution: This Order is governed by the laws of the jurisdiction selected in the Master Service Agreement or, if none, the governing law specified by Provider in writing. Parties will seek to resolve disputes in good faith and may pursue legal remedies where necessary.

Entire Agreement: This Order, together with any referenced schedules, exhibits, and the Provider's standard terms (as provided separately), constitutes the entire agreement between the parties for the services ordered. In case of conflict, the terms of this Order govern as to the ordered services and fees.
