Seller's sole liability and Buyer's exclusive remedy for breach of warranty shall be limited to replacement of nonconforming goods or refund of the purchase price at Seller's option.

4. Returns and Restocking: Returns require Seller's prior written authorization. Unauthorized returns may be refused. Authorized returns are subject to inspection and possible restocking fees.

5. Taxes: Buyer shall be responsible for all taxes, duties, and governmental charges associated with the sale, unless Buyer provides a valid exemption certificate prior to shipment.

6. Limitation of Liability: IN NO EVENT SHALL SELLER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF THE SALE OR USE OF THE GOODS. Seller's aggregate liability shall not exceed the amount paid for the goods giving rise to the claim.

7. Governing Law; Venue: This invoice and the transactions contemplated hereby shall be governed by the laws specified in the parties' commercial agreement; absent such specification, by the laws of the jurisdiction where Seller's principal place of business is located. Buyer consents to venue in the appropriate court in that jurisdiction.
