The deposit shall be held by the Service Provider and applied toward the final invoice for winterization services performed at the Property Address above. The deposit amount and application shall be credited to the final invoice and reflected in the final billing. Any remaining balance after final billing will be refunded or invoiced in accordance with the amounts recorded in the final invoice.

3. Application of Deposit: Upon completion, the deposit will be applied to the final invoice. If the final invoice is less than the deposit, the excess will be refunded within 30 days. If final invoice exceeds the deposit, Client shall pay the remaining balance within the stated payment terms.

4. Default and Remedies: Failure to pay remaining balance when due shall constitute default and permit Service Provider to exercise all contractual and legal remedies, including recovery of costs, interest at a rate not exceeding the maximum permitted by law, and collection fees.

5. Liability and Indemnity: Service Provider's liability for claims arising out of services performed shall be limited to direct damages not exceeding the total amount paid by Client for the particular work. Service Provider is not liable for consequential or incidental damages. Client shall indemnify and hold Service Provider harmless from claims arising from Client's breach or negligence.

6. Access Authorization: By signing, Client represents that they are authorized to permit Service Provider access to the property and to approve the winterization services described herein.

7. Governing Law and Venue: This Deposit Agreement shall be governed by the laws of the state indicated by agreement of the parties, and any disputes shall be resolved in the appropriate court located within that jurisdiction.

8. Entire Agreement; Severability: This document constitutes the entire agreement regarding the deposit and supersedes prior understandings. If any provision is held invalid, the remainder shall continue in full force.
