Commitment; Execution; Irrevocability

The Wire Provider hereby commits to effect the above-described wire transfer in accordance with these instructions and the terms set forth below. This commitment, once accepted by the Wire Provider, shall be binding and irrevocable, except as set forth in Section 8 (Force Majeure) or by mutual written agreement of the parties. Remitter acknowledges that submission of these instructions constitutes an instruction to debit the Remitter account identified above and constitutes authorization to charge applicable fees.

Remitter warrants that sufficient cleared funds are available for debit on the value date.

Remitter warrants that it is authorized to effect the transfer and that the transfer does not violate applicable law or any contractual restriction.

Representations, Indemnity and Liability

The Remitter represents and warrants that the information supplied on this form is true and correct and that Remitter will indemnify, defend and hold harmless the Wire Provider, its correspondents and agents from and against any loss, claim, liability, cost or expense (including reasonable attorneys' fees) arising out of or in connection with the execution, rejection or recall of the wire transfer resulting from inaccurate instructions, unauthorized instructions, or any breach of the representations and warranties in this Commitment.

Except for willful misconduct or gross negligence, the Wire Provider's liability for loss or delay of funds is limited to direct damages not to exceed the principal amount of the wire instruction. Neither party shall be liable for consequential, special, incidental or punitive damages.

Amendments; Cancellation; Recall

Any amendment or cancellation of a wire instruction must be submitted in writing and is effective only if accepted by the Wire Provider in writing. Remitter acknowledges that once a wire leaves the Wire Provider's control it may be irrevocable and that recall or reversal is subject to the receiving and intermediary banks' policies and may not be possible.

Governing Law; Dispute Resolution

This Commitment shall be governed by the laws of the jurisdiction specified below without regard to conflict of laws principles. Any dispute arising under or relating to this Commitment shall be resolved by the courts of that jurisdiction, which shall have exclusive venue.

Neither party will be liable for failure or delay in performing obligations under this Commitment if such failure or delay is caused by events beyond the reasonable control of that party, including but not limited to acts of God, war, terrorism, labor disputes, legal or regulatory changes, system failures, or failures of correspondent banks.
