Representations, Authorization and Indemnity

The Account Holder represents and warrants that: (a) it is authorized to open and operate the designated account; (b) the bank account information provided above is accurate and complete and will accept credits for the stated beneficiary; (c) the Account Holder will promptly notify the remitting party in writing of any change to these instructions and agrees that the remitting party and any bank relying on these instructions will not be liable for delays or losses if changes are not received in sufficient time to act; and (d) funds received will not be derived from unlawful activity and compliance with applicable anti-money laundering and economic sanctions laws is the responsibility of the Account Holder.

The Account Holder authorizes the remitting party and any receiving, intermediary or correspondent bank to credit funds to the identified account and to debit fees as allocated above. Account Holder agrees to indemnify and hold harmless the remitting party, its agents and financial institutions from any claim, loss, liability or expense (including reasonable attorneys' fees) arising from incorrect or incomplete information supplied by the Account Holder or from acts or omissions of banks involved in the transfer, except to the extent caused by gross negligence or willful misconduct of the remitting party.

Account Holder acknowledges that wire transfers are final and irrevocable when accepted by the receiving bank and that reversal or recovery of funds is subject to the rules of the banks involved. Account Holder consents to reasonable verification of identity and account details and to disclosure of information to third parties where necessary to execute or investigate the transfer.
