What the Finance Wire Transfer Exhibit Is

The Finance Wire Transfer Exhibit is a contract exhibit used to record bank account and routing instructions, payment authorizations, and verification steps for electronic fund transfers tied to an underlying agreement. It standardizes the details counterparties need to initiate a wire, reduces ambiguity about payee and remittance fields, and documents approval authority and controls. Organizations typically attach it to purchase agreements, service contracts, escrow instructions, or settlement statements to centralize wiring directions and to capture signature, date, and an audit trail for future reconciliation or dispute resolution.

Why a Wire Transfer Exhibit Matters

A clear Finance Wire Transfer Exhibit minimizes payment errors and fraud, documents authorization and bank details, and creates an auditable record that supports compliance with electronic signature laws such as the ESIGN Act and UETA while clarifying responsibilities between parties.

Why a Wire Transfer Exhibit Matters

Who Commonly Prepares and Signs This Exhibit

Typical preparers and signers span treasury, accounts payable, legal, and external counterparties who need precise payment routing and authorization.

  • Corporate treasury teams responsible for outgoing payments and fraud controls.
  • Vendors and service providers supplying bank details for contract payments.
  • Legal or procurement teams who require documented authorization and audit trails.

Use the exhibit whenever an agreement requires electronic funds transfer instructions, especially where multi-party approval, escrow holdback, or large-value disbursements apply.

  • Attach to Agreement: Completed exhibit saved with contract and audit log.

Core Components of a Professional Finance Wire Transfer Exhibit

A complete exhibit balances precise bank details with clear authorization language and verification instructions to reduce operational and fraud risk.

Payee Identification

Full legal name, DBA if applicable, and taxpayer identification references to match payer records and support backup withholding checks when required.

Banking Details

Bank name, ABA routing number, account number, and account type provided precisely to avoid misdirected funds and bank rejections.

Authorization Clause

Clear signer authority statement specifying who may request transfers, including corporate title or resolution reference and any monetary limits or thresholds.

Verification Procedures

Independent verification steps such as dual-factor confirmation, callback to a verified number, or use of a secure banking portal to prevent social engineering.

Change Control

Instructions for how to update or revoke bank details, including required notice, authentication, and effective date for changes.

Audit and Contact Info

Contact for remittance questions, record of preparer and approver, and space to attach supporting bank documentation for reconciliation.

Essential Fields to Include

Payee Name: Exact legal name
Bank Name: Legal institution name
Routing Number: Nine digits (ABA)
Account Number: Full account number
Account Type: Checking or Savings
Remittance Reference: Invoice or contract ID

Common Mistakes to Avoid

  • Entering transposed digits for routing or account numbers, which causes failed or misdirected transfers and requires time-consuming recovery.
  • Relying on email-only instructions without independent verification, increasing exposure to business email compromise and fraud loss.
  • Failing to record who authorized or updated bank details, complicating internal audits and dispute resolution.
  • Not updating the exhibit after account changes, causing payments to be sent to closed or dormant accounts.

Primary Risks and Potential Consequences

Funds Loss: Irrecoverable misdirected funds
Fraud Liability: Third-party theft exposure
Bank Fees: Return and investigation costs
Payment Delays: Operational and contractual penalties
Contract Breach: Indemnity or damages claims
Data Exposure: PII shared insecurely

Timing Considerations and Typical Deadlines

Key timing checkpoints help prevent rejected transfers and ensure proper authorization before funds move.

Before First Transfer:

Verify all wire details and authorization before executing the initial payment.

When Details Change:

Execute updated exhibit immediately to prevent payments to former accounts.

Approval Lead Time:

Allow two business days for internal review when new accounts or thresholds are involved.

Audit Requests:

Retain completed exhibits and audit trail for the documented retention period.

Bank Cutoffs:

Confirm bank-specific wire submission cutoffs to meet payment dates.
