This Finance Wrap Fees Agreement (Agreement) is entered into between the Investment Manager and the Client identified above. The Manager agrees to provide discretionary investment advisory and related brokerage services under a bundled "wrap fee" arrangement subject to the terms and conditions set forth below. The Client acknowledges receipt of disclosure documents describing program services and fee allocation, and authorizes the Manager to debit fees as authorized in this Agreement.

Services Covered by Wrap Fee

The wrap fee covers the following services unless expressly excluded below: portfolio management, trade execution and clearing performed as part of the program, ongoing account monitoring, and periodic reporting. The wrap fee does not cover third-party fees explicitly identified in this Agreement or fees charged by custodians that are not included in the program's bundled price.

Fee Schedule and Calculation

The wrap fee will be charged as an asset-based fee calculated on the average daily market value of assets in the account, unless another calculation method is specified below. Fees may be expressed as an annual percentage or a flat periodic charge.

Fee Calculation Method: The Manager will calculate fees based upon for the billing period. If applicable, rounding, proration for partial periods, and treatment of deposits and withdrawals are as follows:

Billing, Payment and Authorization

Billing Method: Fees will be debited from the Client's account at the custodian in accordance with standing authorization. The Client authorizes the Manager and the custodian to deduct fees and to reconcile any billing adjustments for up to 12 months following statement issuance.

Payment Instructions / Accepted Methods:

Late Fee Policy: In the event fees cannot be collected from the account, the Manager may terminate services after notice and may seek recovery of unpaid fees and related costs, including reasonable collection expenses.

Term, Termination and Effect on Fees

Term: This Agreement shall remain in effect until terminated by either party by written notice delivered at least days prior to termination. Termination shall not relieve the Client of any obligation to pay fees incurred prior to the effective date of termination.

Upon termination, the Manager will pro-rate fees for the final billing period through the effective termination date, except where fees have been prepaid and applicable refund rules are set forth below.

Conflicts, Disclosure, and Tax Treatment

The Client acknowledges receipt of the Manager's disclosure document describing conflicts of interest, compensation arrangements, and material relationships with third parties. The Client agrees that certain services or products recommended may result in additional compensation to the Manager or its affiliates.

Tax Treatment: The Manager does not provide tax advice. The Client is responsible for tax reporting of transactions in the account. The Manager will supply customary tax reporting forms as required.

Representations, Warranties and Indemnification

Each party represents and warrants that it has the authority to enter into this Agreement. The Client represents that funds and assets placed under management are owned free and clear of liens except as disclosed. The Client agrees to indemnify and hold harmless the Manager, its officers, employees and agents from any losses, claims, damages or liabilities arising out of the Client's breach of representations, or as a result of the Client's instructions, except to the extent such losses arise from the Manager's gross negligence or willful misconduct.

Limitation of Liability; Dispute Resolution; Governing Law

Except as provided by law, the Manager's liability to the Client for any loss or claim arising under this Agreement is limited to direct damages and shall not include consequential, special or punitive damages. All disputes arising out of or related to this Agreement shall be resolved first by negotiation in good faith, then, if unresolved, by arbitration in the principal jurisdiction selected by the Manager. This Agreement is governed by the laws of the state specified by the Manager.
