FINANCIAL AA DOCUMENT

Parties and Effective Date

This Financial Authorization and Assignment Agreement (the Agreement) is entered into on (Effective Date) by and between:

Recitals

WHEREAS, Assignor generates accounts, invoices, and other receivables arising from the sale of goods or services (Receivables); and

WHEREAS, Assignee has agreed to provide an advance, credit accommodation, or purchase of certain Receivables upon the terms and subject to the conditions set forth in this Agreement.

Definitions

For purposes of this Agreement, the following terms have the meanings set forth below: "Receivables" means all present and future accounts, invoices, contract rights, and other rights to payment described in Schedule A. "Advance" means the principal amount funded by Assignee to Assignor as designated herein.

Assignment; Security Interest

Assignor hereby absolutely and unconditionally assigns, conveys, transfers, and delivers to Assignee all right, title and interest in and to the Receivables identified in Schedule A and all proceeds thereof, whether now existing or hereafter arising, as security for payment and performance of Assignor's obligations under this Agreement. Assignor grants Assignee a continuing first-priority security interest in the Receivables and all proceeds, to the fullest extent permitted by law.

Advance, Fees and Application of Proceeds

Proceeds collected by Assignee from assigned Receivables shall be applied in the following order: (a) collection costs, (b) accrued fees and interest, (c) principal and Advances, and (d) any residual amounts to Assignor, unless otherwise agreed in writing.

Interest; Repayment Schedule

Repayment shall occur by application of collections on assigned Receivables in accordance with the schedule below and the application priority set forth above.

Representations, Warranties and Covenants

Assignor represents and warrants that: (a) Assignor has full power and authority to assign the Receivables; (b) Receivables are bona fide, undisputed, and not subject to offset, counterclaim or defense; (c) no other party holds a security interest except as disclosed; (d) the execution and performance of this Agreement will not violate any law, contract, or order binding on Assignor.

Assignor covenants to: (i) enforce collection efforts in good faith; (ii) notify Assignee promptly of any disputes, returns, or setoffs asserted by debtors; and (iii) maintain accurate books and records supporting Receivables.

Events of Default and Remedies

An Event of Default includes without limitation Assignor's failure to perform any material obligation, any representation being false when made, insolvency, appointment of a receiver, or cessation of business. Upon Event of Default, Assignee may declare amounts immediately due and exercise all rights under applicable law and this Agreement, including collection of Receivables, set-off, acceleration, and pursuit of judicial remedies.

Indemnity; Limitation of Liability

Assignor shall indemnify and hold Assignee harmless from any loss, liability, claim or expense arising from Assignor's breach of representation, warranty, covenant, or negligence in connection with the Receivables, except to the extent caused by Assignee's gross negligence or willful misconduct. ASSIGNEE'S LIABILITY SHALL BE LIMITED TO DIRECT DAMAGES ARISING FROM ITS GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; IN NO EVENT SHALL ASSIGNEE BE LIABLE FOR SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES.

Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below. The parties submit to the exclusive jurisdiction of the courts located therein for resolution of disputes.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements. No amendment shall be effective unless in writing and signed by both parties. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
