3. Deposits, Interest, and Fees

The Client elects how statements and notices will be delivered. Electronic delivery is effective when sent to the email address on file. Paper statements will be sent to the primary address.

5. Representations, Warranties, and Certifications

The Client represents and warrants that all information provided to the Financial Institution is true, complete and correct, that funds deposited are not derived from illegal activities, and that the Client will comply with all applicable tax, anti-money laundering, and securities laws. The Client certifies under penalty of perjury that the taxpayer identification number provided is correct and that the Client is not subject to backup withholding unless otherwise indicated.

6. Anti-Money Laundering and Compliance

The Financial Institution may request additional documentation to verify identity or source of funds. The Client authorizes disclosure of account information as required by law and agrees to cooperate with any investigation related to suspicious activity.

The Client authorizes the Financial Institution to initiate and accept electronic fund transfers, ACH credits/debits, and wires as instructed by the Client or by authorized representatives. The Client will provide correct routing and account numbers and accepts liability for errors resulting from incorrect information.

8. Liability, Indemnity, and Limitations

Except as provided by applicable law, the Financial Institution shall not be liable for consequential or incidental damages arising from acts or omissions in connection with the Account. The Client shall indemnify and hold the Financial Institution harmless for losses resulting from Client negligence, fraud, or breach of this Agreement.

9. Termination; Amendment; Governing Law

Either party may terminate this Agreement upon written notice in accordance with the Notices section. The Financial Institution may amend terms by providing notice to the Client. This Agreement shall be governed by the internal laws of the state identified below without regard to conflict of law principles.

10. Notices

Notices shall be effective when sent to the email or postal address on file. The Client shall promptly notify the Financial Institution of any change to the Client's contact information.
