FINANCIAL ACCOUNTING SERVICES AGREEMENT

Scope of Services

Provider will perform the accounting services described below for the period set forth in this Agreement. Services shall be performed in accordance with generally accepted accounting principles and applicable professional standards.

Fees, Billing and Payment

Client agrees to compensate Provider as set forth below. All fees are due in accordance with the payment terms. Provider will invoice Client and Client shall pay invoices in cleared funds by the due date.

Invoices will be issued and are due within days of invoice date. Past due amounts shall bear interest at per month, or the maximum rate permitted by law.

Expenses and Third-Party Costs

Client will reimburse Provider for reasonable out-of-pocket expenses incurred in performance of services, including but not limited to filing fees, courier, third-party software subscriptions, and travel. Reimbursable expenses will be itemized on invoices and are due under the same payment terms as fees.

Client Responsibilities

Client will provide complete and accurate information, access to books and records, and timely responses to requests. Provider shall not be responsible for errors resulting from incomplete, inaccurate, or untimely information provided by Client.

Confidentiality

Provider will maintain the confidentiality of Client information and will not disclose such information except as required by law or with Client's prior written consent. Confidential obligations survive termination for a period of months.

Indemnification and Limitation of Liability

Each party indemnifies and holds harmless the other from claims arising from its negligence or willful misconduct. Provider's total aggregate liability for any claim arising from this Agreement will not exceed the total fees paid by Client to Provider under this Agreement during the preceding twelve months, except in cases of willful misconduct or fraud.

Term, Termination and Transition

This Agreement commences on the Effective Date and continues until terminated by either party upon written notice. Either party may terminate with days' written notice. Upon termination, Client will pay for services performed and expenses incurred through the effective date of termination. Provider will cooperate with Client to effect an orderly transition upon request; transition services, if any, will be billed at Provider's then-current rates.

Record Retention

Provider will retain working papers and records related to this engagement for a period of years, after which Provider may destroy such records in accordance with its document retention policy, unless otherwise instructed by Client in writing.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state of without regard to conflict of laws principles. Parties agree to negotiate disputes in good faith prior to initiating formal proceedings.

Miscellaneous

Provider performs services as an independent contractor. Nothing in this Agreement creates an employment, partnership or agency relationship. Any amendment must be in writing and signed by both parties. If any provision is held invalid, the remaining provisions shall remain in full force.
