Audit, Records and Financial Controls

Termination and Remedies

Either party may terminate this Agreement for material breach if the breach is not cured within days after written notice. Upon termination, final reconciliation shall be completed within days and any net amount owing shall be paid pursuant to the Payment Terms.

Indemnification and Liability

Each party shall indemnify the other for losses arising from its gross negligence, willful misconduct, or material breach of this Agreement. Neither party shall be liable for incidental or consequential damages except as required by applicable law.
