Recitals and Effective Date

This Financial Acquisition Agreement (the Agreement) is entered into by and between the Acquirer identified above and the Seller identified above on this the day of , (the Effective Date).

The Purchase Price to be paid by Acquirer to Seller for the Assets shall be the Total Purchase Price specified above, subject to adjustments for indebtedness, taxes, prorations, and agreed set-offs as set forth in this Agreement. Payment shall be made in accordance with the payment terms below.

Where payment is deferred, late payments shall bear interest at the lesser of: (a) the maximum rate permitted by applicable law; or (b) the rate specified by the parties in the payment schedule below. Parties agree that any failure to timely pay beyond any applicable cure period shall constitute an Event of Default under this Agreement.

The closing of the transactions contemplated by this Agreement (the Closing) shall occur at such time and place as the parties mutually agree, but in no event later than: day of , .

Representations and Warranties

The Seller represents and warrants to Acquirer that: (a) Seller is the sole legal and beneficial owner of the Assets being transferred and has full authority to effect the transfer free and clear of all liens and encumbrances except as disclosed; (b) the Assets are not subject to material undisclosed liabilities; and (c) there are no pending actions, suits, or governmental investigations that would reasonably be expected to impair the transferred Assets or the ability to consummate the transaction.

The Acquirer represents and warrants to Seller that: (a) it has the financial capability to timely consummate the purchase and to perform its obligations hereunder; and (b) its execution and performance of this Agreement has been duly authorized.
