What the Financial Advisory Form ADV Part Covers

The Financial Advisory Form ADV Part refers to the components of the SEC and state registration filing used by investment advisers to disclose business operations, ownership, clients, assets under management, conflicts of interest, and disciplinary history. Firms file Part 1 (structured data for regulators) and Part 2 (narrative brochure given to clients) through the IARD system when registering or updating their adviser status. Accurate, timely ADV filings establish regulatory compliance, public disclosure requirements, and the baseline the SEC or state securities regulator uses during examinations and audits.

Why Accurate ADV Part Filings Matter

Complete and current Form ADV Parts protect your firm from enforcement risk, enable lawful adviser registration, and provide required client disclosures. Inaccurate or late updates can trigger audits, fees, or disciplinary action and may harm client trust and regulatory standing.

Why Accurate ADV Part Filings Matter

Who Completes and Relies on Form ADV Parts

Maintain internal review owners and version control so Part 1 data and Part 2 brochures remain aligned and defensible during examinations.

  • Registered Investment Adviser teams and CCOs responsible for regulatory filings and client disclosures.
  • Broker-dealer compliance groups and advisory affiliates when coordinating dual-registrant reporting and shared services.
  • Outside counsel and compliance consultants who draft disclosure language and verify accuracy before submission.

Core Components of the Financial Advisory Form ADV Part

Form ADV consists of structured and narrative sections that together describe adviser business, personnel, and disclosures required by regulators and clients.

Part 1

Machine-readable data used by the SEC/state via IARD: firm identifiers, ownership, business types, AUM, and disciplinary history; used in regulatory oversight and examinations.

Part 2A Brochure

Plain-language narrative describing advisory services, fees, conflicts of interest, brokerage practices, custody arrangements, and disciplinary disclosures intended for clients and prospective clients.

Part 2B Supplement

Brochure supplements for supervised persons that detail qualifications, disciplinary history, and specific supervised-person conflicts or outside business activities.

Schedules and Exhibits

Attachments such as wrap fee schedules, privacy policies, and additional disclosures that support Part 1/Part 2 statements and regulatory review.

Amendments

Annual or interim amendments required to reflect material changes in operations, ownership, AUM, services, or disciplinary events.

Brochure Delivery Records

Client delivery and acknowledgment records that document distribution of Part 2 materials and any required client-facing consent language.

Practical Tips for Accurate and Efficient ADV Part Completion

Adopt consistent practices to minimize errors and regulator follow-up while keeping client disclosures clear and defensible.

Standardize Source Data
Keep a single source of truth for AUM calculations, personnel resumes, and ownership data. Automate AUM pulls from accounting systems where possible to reduce manual entry errors and reconcile before filing.
Use Controlled Templates
Draft Part 2A brochure language in approved templates with versioning. Require compliance sign-off on changes to fee or conflict disclosures to avoid inconsistent statements across client materials.
Retain Submission Proof
Save IARD receipts, confirmation numbers, and the signed PDF with an embedded audit trail. These artifacts are critical evidence during examinations and when demonstrating timely delivery to clients.
Schedule Regular Reviews
Perform quarterly compliance checks and an annual full ADV audit within the 90-day amendment window to catch material changes early and file timely amendments.
