FINANCIAL AGENT AGREEMENT

Parties

This Financial Agent Agreement (the Agreement) is made effective as of by and between:

Recitals

WHEREAS, Principal desires to appoint Agent to act as Principal's financial agent to perform the services and exercise the authorities set forth in this Agreement; and WHEREAS, Agent represents that it has the experience, qualifications, and authority to provide such services.

Appointment; Scope of Authority

Principal hereby appoints Agent, and Agent accepts such appointment, as Principal's financial agent with the authority to act on Principal's behalf in accordance with the terms of this Agreement. The initial scope shall commence on the effective date and continue as provided in the Term and Termination section.

Authority; Limitations

Agent shall exercise powers in good faith and in the best interests of Principal and only within the scope specified. Agent shall not:

  • Transfer or encumber Principal's ownership interests except as expressly authorized in writing;
  • Make gifts, transfers for less than fair market value, or engage in self-dealing unless expressly authorized;
  • Delegate powers except to employees or subcontractors retained by Agent under Agent's supervision and responsibility.

Compensation, Expenses and Payment Terms

Principal will compensate Agent as set forth in the fee schedule below. Agent is entitled to reimbursement of reasonable out-of-pocket expenses incurred in the performance of duties under this Agreement upon presentation of appropriate documentation.

Term and Termination

This Agreement begins on the effective date and shall continue until terminated by either party in accordance with this section. Either party may terminate this Agreement upon days' prior written notice to the other. Termination shall not relieve Principal of payment obligations for services performed and expenses incurred through the termination date.

Representations, Warranties and Authority

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Principal specifically represents that Principal has the right to authorize Agent to undertake the powers set forth in this Agreement.

Confidentiality

Agent shall keep confidential all non-public information obtained from Principal in connection with this Agreement and shall not disclose such information except as required by law or with Principal's prior written consent. Confidential information does not include information that is or becomes publicly available other than through Agent's breach of this Agreement.

Indemnification and Liability

Principal agrees to indemnify, defend and hold harmless Agent, its affiliates and their respective officers, directors, employees and agents from and against any and all losses, liabilities, claims, damages and expenses arising out of Agent's proper performance of duties hereunder, except to the extent caused by Agent's gross negligence, willful misconduct or bad faith.

Records; Reporting

Agent shall keep complete and accurate records of all transactions and shall provide Principal with periodic reports detailing receipts, disbursements, holdings and fees in accordance with the reporting schedule set forth below.

Conflicts of Interest; Duty of Loyalty

Agent affirms a duty of loyalty to Principal and will disclose any material conflicts of interest promptly in writing. Agent may not profit from transactions on Principal's account except for fees expressly agreed in this Agreement or disclosed in writing.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law principles. Any dispute arising out of or relating to this Agreement shall be resolved in the courts located in that state or through binding arbitration if mutually agreed.

Notices

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses below (or such other address as a party may designate by notice to the other).

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. Amendments must be in writing signed by both parties. If any provision is held invalid, the remainder shall remain in full force and effect.
