5. Termination for Cause: Issuer may terminate or rescind this allocation in whole or in part for material breach, insolvency, misrepresentation, or fraudulent conduct. Termination does not relieve Recipient of obligations to repay or restore funds.

6. Confidentiality: Financial details and proprietary information exchanged under this Notice shall be treated as confidential to the extent permitted by law. Disclosure required by law shall be promptly reported to the other party where permitted.

7. Notices: All notices required hereunder shall be in writing and delivered to the contact information provided above by hand, courier, or certified mail. Notice is effective upon receipt.
