This invoice constitutes a demand for payment for professional financial analysis services described herein. Payment is due in full by the Due Date. If full payment is not received by the Due Date, Issuer may impose the specified late fee and interest on the outstanding balance at the rate set forth above or, if unspecified, at 1.5% per month (18% per annum), calculated monthly and compounded. Client shall be responsible for all reasonable collection and legal costs incurred to collect past-due amounts.

Any dispute regarding billed services or amounts must be submitted in writing to Issuer within the dispute period indicated above. Failure to timely notify Issuer of a dispute waives the Client's right to dispute the invoice amount. Payments shall not be subject to withholding, setoff or reduction on account of any counterclaim unless agreed in writing by Issuer.

Issuer warrants that the services invoiced were performed in a professional manner consistent with industry standards. Except as expressly provided, Issuer disclaims all other warranties, express or implied. This invoice and any related collection activity shall be governed by the laws of the state or jurisdiction identified in the Issuer address, without regard to its conflict-of-law rules.
