Client Responsibilities

The Client is responsible for preserving accurate accounting records, making all financial records available to the Firm in a timely manner, and providing complete and accurate representations required for the performance of services. The Client warrants that information provided to the Firm will not knowingly contain material misstatements or omissions.

Fees, Expenses and Billing

Fees are based on the agreed fee schedule below or on hourly rates where applicable. The Client will reimburse the Firm for reasonable out-of-pocket expenses incurred in connection with the engagement. The Firm will submit invoices monthly unless otherwise specified.

Confidentiality; Professional Standards

The Firm will maintain the confidentiality of client information in accordance with professional standards. The Firm may disclose confidential information as required by law or professional standards, provided the Firm gives the Client prompt notice where permitted. The Firm will perform services in accordance with applicable professional standards and will not audit or verify information submitted by the Client unless specifically engaged to do so.

Limitation of Liability and Indemnification

The Firm's liability for claims arising from this engagement is limited to direct damages and shall not exceed the total fees paid for the services under this engagement in the twelve months preceding the claim. Under no circumstances shall the Firm be liable for consequential, incidental, or punitive damages. The Client agrees to indemnify and defend the Firm against third-party claims arising from the Client's breach of representations, misuse of deliverables, or failure to provide complete information.

Termination

Either party may terminate this engagement upon written notice. Upon termination, the Client will promptly pay the Firm for all services performed and expenses incurred to the termination date, together with any reasonable transition costs. If either party terminates for cause, the terminating party must provide written notice specifying the basis for termination and allow a 30-day cure period unless immediate termination is required by law.

Dispute Resolution and Governing Law

Any dispute arising out of or relating to this engagement shall be resolved first by good faith negotiation between senior representatives. If unresolved, disputes shall be resolved by binding arbitration administered in the governing jurisdiction specified below. This engagement shall be governed by the laws of the state selected by the parties.

Records Retention and Ownership

Working papers and electronic files prepared by the Firm are the Firm's property. The Firm will retain its working papers for a period not less than the applicable professional retention standard. Client records provided to the Firm will be returned to the Client upon request and after payment in full of all fees and expenses.

Consent to Electronic Communications

The Client consents to the delivery of invoices, deliverables, and other communications by electronic mail unless the Client provides written notice requesting paper delivery. Electronic communication is at the Client's risk; the Firm will employ reasonable safeguards but cannot guarantee the security of electronic transmission.
