FINANCIAL ASSET MANAGEMENT AGREEMENT

The Manager shall disclose all material conflicts of interest and any compensation received from third parties in connection with transactions effected on behalf of the Client. The Manager shall not engage in self-dealing without the Client's prior written consent.

10. REPRESENTATIONS, WARRANTIES AND COVENANTS

Client Representations: The Client represents that it has full authority to enter into this Agreement and to grant the Manager the authorities set forth. The Client shall promptly notify the Manager of any change in authority, financial condition, or investment restrictions.

Manager Representations: The Manager represents that it will perform services with the care, skill and diligence consistent with industry standards and applicable law.

11. INDEMNIFICATION AND LIABILITY

The Client shall indemnify and hold harmless the Manager and its agents from and against any losses, liabilities, claims, damages, or expenses arising out of the Client's breach of this Agreement or the Client's instructions, except to the extent caused by the Manager's gross negligence or willful misconduct.

12. TERM, TERMINATION & TRANSFER

Term: This Agreement shall commence on the Effective Date and shall continue until terminated by either party upon 30 days' written notice. The Manager may terminate immediately for cause, including material breach or nonpayment.

13. GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below. Any dispute arising under this Agreement shall be resolved by arbitration if both parties agree; otherwise, disputes shall be resolved in courts of competent jurisdiction.

14. NOTICES

All notices required under this Agreement shall be in writing and delivered to the addresses provided in Section 1. Notices are effective upon personal delivery, next business day for overnight courier, or three business days after deposit in the mail.

The Manager shall maintain books and records relating to the Client's account for a reasonable period. Both parties shall maintain the confidentiality of non-public information except as required by law or regulation.

The Client acknowledges that investing in securities and other financial instruments involves risk of loss and that past performance is not indicative of future results. The Client has reviewed and understands the risks associated with the investment strategy set forth in this Agreement.

18. MISCELLANEOUS
