The Auditor will maintain confidentiality of Client information except as required by law, professional standards, or as necessary to perform the engagement. The Auditor's report is intended solely for the use of the Client and those charged with governance and shall not be used by third parties without the Auditor's prior written consent.

Limitation of Liability and Indemnification

The Auditor's liability to the Client arising out of this engagement shall be limited to direct damages and shall not include special, consequential, or punitive damages.
