The client is responsible for the design and maintenance of internal controls and for representations made to the auditor.

Confidentiality, Independence & Standards

The firm will maintain the confidentiality of client information in accordance with professional standards and applicable law. The firm affirms that it is independent of the client as required by professional standards and will notify the client promptly of any matters that may impair independence. The audit will be performed in accordance with applicable professional auditing standards.

Limitation of Liability & Indemnification

Except to the extent prohibited by law, the firm's liability for claims arising out of this engagement is limited to the total fees paid under this proposal. The client agrees to indemnify and hold harmless the firm and its personnel from claims, liabilities, costs, and expenses (including reasonable legal fees) arising from negligence, misrepresentation, or failure to provide requested information, except to the extent caused by the firm's gross negligence or willful misconduct.

Records, Retention & Reporting

Workpapers produced by the firm are the firm's property, subject to professional retention policies. The firm will provide final audit reports and any management letters to the client. The client may request copies of selected workpapers; such requests will be considered on a case-by-case basis and may be subject to confidentiality obligations and reasonable copying fees.

Termination
