CERTIFICATION AND REPRESENTATIONS

The undersigned representative of the Borrower hereby certifies, represents and warrants to the Lender that: (a) the Borrowing Base calculation set forth in this Financial BB Calculation is true, complete and prepared in accordance with the Credit Agreement and the Borrower’s books and records; (b) no material defaults or events of default have occurred or, if existing, are disclosed in writing in the Supporting Schedules; (c) all receivables and inventory included herein are free and clear of undisclosed liens except as permitted by the Credit Agreement; and (d) the Borrower will provide, upon the Lender’s request, copies of the underlying schedules, customer invoices, inventory listings and other documentation substantiating the amounts reported.

The Borrower acknowledges that this Certification may be relied upon by the Lender in determining the Borrower’s borrowing availability and that any material misstatement may constitute an event of default under the Credit Agreement and may subject the Borrower to remedies available to the Lender at law or in equity.
