RECITALS

CONSIDERATION

In exchange for the waivers and releases provided herein, Provider agrees to provide the following consideration to the Waiving Party. The Parties acknowledge that the consideration set forth below constitutes adequate and sufficient consideration for the waiver of the specified rights:

SCOPE OF RELEASE

The Waiving Party hereby fully, finally, and forever releases and discharges Provider and its affiliates, subsidiaries, officers, directors, employees, agents, successors, and assigns from any and all claims, demands, obligations, actions, causes of action, suits, agreements, or liabilities relating to the benefits identified above and arising on or before the Effective Date, including but not limited to contract, equitable relief, and statutory claims to the extent permitted by law.

EXCEPTIONS AND RESERVED RIGHTS

Notwithstanding the foregoing, this Agreement does not waive rights that cannot be lawfully waived by contract, including claims for workers' compensation benefits, unemployment insurance, or other rights that may be non-waivable under applicable law. Any rights expressly set forth as retained in the Schedule A are excluded from this waiver.

TAXES AND WITHHOLDING

The Parties acknowledge that Provider may withhold taxes or make required deductions from any monetary consideration as required by law. The Waiving Party represents that he or she is solely responsible for all tax obligations arising from any payments or considerations received under this Agreement.

REPRESENTATIONS AND WARRANTIES

The Waiving Party represents and warrants that he or she: (a) has read this Agreement in its entirety; (b) has had the opportunity to seek independent legal counsel and either obtained such counsel or voluntarily elected not to do so; (c) understands the nature and consequences of this waiver; and (d) is executing this Agreement voluntarily and without coercion.
