Payment Terms: The Paying Party shall remit the Total Amount Due by the Due Date. If a payment schedule is agreed, payments shall be applied in the order set forth in the Repayment Schedule below and shall first be applied to accrued interest, then principal.

Interest, Late Fees and Default

Interest Rate on Outstanding Amounts: per annum, calculated on a 365-day year basis.

Late Fee: If any payment is not received within days after the Due Date, a late fee of will be assessed. Interest will continue to accrue on overdue balances.

Default: The Paying Party shall be in default upon failure to make any payment when due, insolvency, assignment for the benefit of creditors, or material breach of this Agreement. Upon default, the Billing Party may declare all outstanding sums immediately due and payable and pursue any remedy available at law or in equity, including collection costs and reasonable attorneys' fees.

Security and Setoff

Security: To secure payment, the Paying Party grants the Billing Party a security interest in the goods and proceeds described in this Agreement to the extent permitted by law, or as otherwise stated in a separate security agreement executed by the Parties.

Setoff: The Billing Party may, to the fullest extent permitted by law, set off any amounts owed by the Billing Party to the Paying Party against amounts owed under this Agreement.

Representations; Governing Law; Dispute Resolution

Each Party represents and warrants that it has the full legal capacity and authority to enter into and perform this Agreement and that performance will not violate any other agreement or law.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws mutually agreed by the Parties in writing or, absent agreement, by the laws of the jurisdiction where the Billing Party maintains its principal place of business.

Dispute Resolution: The Parties agree to attempt good faith negotiation and, if unresolved within thirty (30) days, to submit disputes to mediation before commencing litigation. Remedies at law and equity are preserved.

Notices

All notices shall be in writing and delivered to the addresses set forth above or as otherwise designated in writing. Notice is effective upon receipt when delivered by hand, courier, or three business days after deposit with postal or courier services.
