Engagement; Scope of Services

The Bookkeeper shall provide bookkeeping and related financial recordkeeping services as selected below and as reasonably necessary to prepare the Deliverables described in this Agreement.

Deliverables and Schedule

Deliverables shall be provided in the format and frequency set forth below. The Bookkeeper will complete monthly close and deliver financial statements by the Business Day: of the following month unless otherwise agreed in writing.

Fees, Invoicing and Payment

Client shall pay the Bookkeeper the fees described below. Unless otherwise stated, fees are exclusive of reimbursable expenses which Client shall promptly reimburse.

Reimbursable Expenses

Client will reimburse reasonable out-of-pocket expenses incurred by Bookkeeper in performing the services, subject to the following approval threshold and documentation requirements.

Client Responsibilities

Client shall timely provide complete and accurate books, records, bank and credit card access or statements, payroll data, and any other materials reasonably necessary for Bookkeeper to perform the Services.

Confidentiality and Data Security

Bookkeeper shall maintain the confidentiality of Client financial information and implement reasonable administrative, technical, and physical safeguards to protect Client data. Client authorizes Bookkeeper to access necessary financial systems and agrees to provide appropriate credentials or read-only access as required.

Compliance; Tax Filings

Bookkeeper will maintain books and prepare tax‑ready reports. Bookkeeper is not engaged as Client's tax preparer or legal advisor unless expressly agreed in writing. Client retains responsibility for tax filings and compliance with laws and regulations.

Limitation of Liability; Indemnification

Except for willful misconduct or gross negligence, Bookkeeper's aggregate liability arising out of or related to this Agreement shall not exceed the total fees paid by Client to Bookkeeper under this Agreement in the twelve (12) months preceding the claim. Each party shall indemnify, defend and hold the other harmless from third-party claims arising from the indemnifying party's breach of this Agreement or negligent acts.

Term, Termination and Transition

This Agreement commences on the Effective Date and continues for an initial term of and thereafter renews automatically unless terminated in writing with the required notice.

Upon termination, Bookkeeper will provide reasonable transition assistance to transfer books and records to Client or Client's designee. Transition services beyond thirty (30) days after termination shall be billed at the hourly rate set forth above.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state identified below. The parties agree to attempt resolution of disputes through good faith negotiation and non-binding mediation prior to initiating binding arbitration.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes prior agreements. Amendments must be in writing and signed by both parties. If any provision is held invalid, the remaining provisions shall remain in full force.
