Limitations, Reliance & Liability

The Client acknowledges that the Reviewer will rely on the accuracy and completeness of documents and information provided by the Client. The Reviewer will not examine every transaction or test all accounting records. The Reviewer shall have no responsibility to detect defalcations or other irregularities not disclosed by the procedures performed. The Reviewer's liability, whether in contract, tort or otherwise, shall be limited to direct damages and, except as required by law, in no event shall such liability exceed the fees paid to the Reviewer for this engagement.

No party other than the Client may rely on the Review Report without the Reviewer's prior written consent. The Client agrees to indemnify and hold harmless the Reviewer against claims arising from inaccurate or incomplete information provided by the Client.

Confidentiality & Records Retention

The Reviewer will treat information obtained from the Client as confidential and will not disclose such information except as required by law or professional obligations. The Reviewer will retain working papers related to the engagement for a reasonable period consistent with professional standards, but original client records shall be returned to the Client upon request.
