RECITALS

This Financial Bridge Note (the "Note") evidences a short-term loan advanced by Lender to Borrower to provide interim financing pending the closing of a definitive financing or other capital transaction. Borrower and Lender agree as follows.

PROMISE TO PAY

For value received, Borrower promises to pay to the order of Lender the principal sum of (the "Principal") together with interest as provided below.

PAYMENT TERMS

EVENTS OF DEFAULT

The following events shall constitute an Event of Default: (a) failure to pay any amount due under this Note within days of its due date; (b) Borrower's insolvency, bankruptcy filing, or assignment for the benefit of creditors; (c) any material breach of Borrower's representations, warranties or covenants that is not cured within days after written notice.

REMEDIES

Upon the occurrence of an Event of Default, Lender may declare the entire outstanding Principal and accrued interest immediately due and payable, exercise rights and remedies available at law or in equity, and enforce any security interests granted herein. Borrower shall be responsible for reasonable costs of collection, including attorneys' fees.

REPRESENTATIONS AND WARRANTIES

Borrower represents and warrants that: (a) Borrower is duly organized, validly existing and in good standing under applicable law; (b) Borrower has power and authority to execute, deliver and perform this Note; (c) execution, delivery and performance of this Note does not violate any instrument, law or agreement binding on Borrower; and (d) no consent or approval is required to make this Note enforceable as provided herein.

NOTICES

All notices required or permitted under this Note shall be in writing and delivered to the addresses set forth below (or such other address as a party may designate by written notice).

PAYMENT INSTRUCTIONS

Payments shall be made in lawful currency of the United States to Lender at the address or account specified by Lender in writing. Accepted payment methods include wire transfer, ACH, certified check, or other method agreed by the parties.

MISCELLANEOUS

This Note constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements. No amendment or waiver shall be effective unless in writing signed by the party against whom enforcement is sought. If any provision is held invalid, the remainder shall remain in effect.
