Each party represents and warrants that it has full corporate power and authority to enter into this Agreement and that the execution and delivery of this Agreement and the performance of its obligations will not violate any law or agreement to which it is subject. The Budget Manager covenants to perform financial administration in accordance with generally accepted accounting principles and the reporting requirements set forth herein.

Confidentiality

All nonpublic financial information exchanged pursuant to this Agreement shall be held confidential and may be disclosed only to persons with a need to know for purposes of performing this Agreement, except as required by applicable law. The receiving party shall take reasonable measures to protect confidentiality and shall return or destroy confidential materials upon termination if requested.

Termination and Default

This Agreement may be terminated by mutual written consent or by either party upon thirty (30) days' written notice for convenience. Material breach that is not cured within thirty (30) days following written notice shall constitute default. On default, the non-breaching party may suspend funding, demand immediate repayment of unexpended funds, and pursue any remedies available at law or in equity.

This Agreement shall be governed by the laws specified by the parties below. The parties agree to attempt to resolve disputes in good faith through negotiation.
