This Financial Business Engagement Agreement (the Agreement) is entered into between the Firm named above and the Client named above. Term: This Agreement shall commence on the Effective Date and continue until the completion of the Services or earlier termination in accordance with this Agreement. Either party may terminate for convenience upon days' prior written notice.

Confidentiality and Use of Information

Each party shall maintain in confidence all non-public information disclosed by the other party and shall use such information solely for the performance of this Agreement. The Firm will disclose any material conflicts of interest discovered during the engagement. The Firm's obligations do not require the assumption of duties beyond those expressly set forth in this Agreement.

Limitation of Liability; Indemnity

Except for willful misconduct or gross negligence, the Firm's aggregate liability under this Agreement shall not exceed an amount equal to or the total fees paid by the Client under this Agreement, whichever is less. The Client agrees to indemnify and hold harmless the Firm from claims arising from Client-provided information or instructions.

Records, Audit and Data Protection

The Firm will maintain records adequate to support its services for a period of years unless otherwise required by law. Both parties will comply with applicable data protection and privacy laws in the handling of personal data.
