The capital account maintained for the Account Holder shall be credited with contributions and allocations of Profits and debited with distributions and allocations of Losses in accordance with the governing agreement and applicable accounting principles. The parties agree that the capital account will be maintained on a book basis determined by the Administrator and adjusted for items enumerated below.

Capital Calls; Additional Contributions

The Account Holder's obligation to make additional contributions, if any, shall be set forth in the governing instrument or as determined by unanimous/majority vote as specified therein. When a capital call is made, the Account Holder shall be provided written notice specifying the amount and due date. Failure to fund a capital call when due shall constitute an event of default and may result in the application of remedies described below.

Representations and Warranties

By executing this document, the Account Holder represents and warrants that: (i) the undersigned has full power, authority and capacity to open and maintain this Financial Capital Account and to make the contributions described herein; (ii) the contribution funds are not derived from illegal activity; (iii) the Account Holder will provide any documentation reasonably required to verify identity, authority, and source of funds; and (iv) no contribution will violate applicable law or the terms of any agreement to which the Account Holder is subject.

Recordkeeping, Statements, and Tax Reporting

The Administrator shall maintain books and records reflecting the Account Holder's capital account. Periodic statements will be provided no less frequently than annually. Tax allocations and reporting will be made in accordance with applicable law and the governing agreement. The Account Holder shall promptly provide information requested for tax reporting and consent to such reporting as required.

Governing Law and Amendments

This Financial Capital Account and all disputes arising under or related to it shall be governed by and construed in accordance with the laws of the state identified below without regard to conflict of law principles. Any amendment to these account terms must be made in a written instrument signed by both the Account Holder and an authorized representative of the Administrator.
