Upon an uncured default by the Investor in funding its commitment, the Company may exercise remedies including, without limitation, forfeiture of rights or equity, enforcement by specific performance, or monetary damages. The exercise of one remedy shall not preclude the exercise of others.

Each party acknowledges that it is solely responsible for its tax reporting and obligations arising from this Agreement. Notices

Governing Law; Miscellaneous
